When engineers define "AI-ready," legal inherits the error
Encoding contracts is a legal choice
Most enterprises treating "AI-ready contracts" as a data engineering problem are solving the wrong thing. Structuring agreements into machine-readable fields — format, schema, accessibility — is the part that looks like a technical problem. The harder question is whose interpretation of those agreements is getting encoded. That question almost never gets asked.
Right now, in most organizations, engineers decide. Legal finds out later.
The way a contract gets encoded reflects interpretive choices: which clauses become triggers, which exceptions get treated as edge cases, which carve-outs have a relationship to other sections that isn't obvious from the text. Legal teams make those calls every time they read an agreement and determine what it actually requires. When engineers make them instead — mapping fields without that context — you don't get structured agreement truth. You get structured error running in production.
The failure mode follows a pattern. A payment milestone clause gets encoded with a single trigger condition. Legal knows that clause has always been read alongside a companion carve-out two pages later — but that relationship isn't in the schema. The agent fires. The payment processes. Someone in finance flags it six weeks later during reconciliation. At that point, you don't have a data problem. You have an evidence problem, and an unhappy counterparty.
That's not hypothetical. That's what happens when contracts get structured the way you'd structure any other enterprise dataset: field by field, row by row, without asking what interpretive knowledge isn't written down anywhere.
A recent piece on AI-ready agreement infrastructure made the point that enterprises can't move from "automation theater" to real outcomes until contracts become machine-executable logic. That's right. The stat that 87% of enterprises missed their revenue targets despite record AI spending is a real problem, and unstructured agreements are part of it. But the fix isn't purely technical. Many of those organizations weren't just failing at data engineering. They were encoding the wrong things.
Product counsel can't fix this from outside the process. The time to be in this conversation is before the schema gets defined — when the team is deciding which contract fields matter, how obligations get represented, what counts as a triggering condition, and which terms need human context to interpret correctly. That's when legal expertise translates directly into fewer downstream liability questions and fewer agents executing on logic that doesn't match what the parties actually agreed to.
What early involvement looks like in practice: joining the sessions where data architects are defining field structure for CLM or contract data platforms; reviewing sample encodings of real agreements before they go into training or production pipelines; flagging the categories of clauses where the written text systematically understates the interpretive work legal does to apply them. None of this requires legal to become a data engineer. It requires legal to be present when design decisions with legal consequences are being made.
The pattern shows up reliably: a team builds a clean, consistent contract structuring system the engineers are genuinely proud of, and the first significant dispute surfaces and the structured data doesn't reflect what the parties actually agreed to. The document existed. The data existed. The encoding was wrong.
"AI-ready" has been defined almost entirely by the technical side of the house — as a question of format, structure, and machine accessibility. Legal readiness is a different question. A contract can be perfectly structured in JSON and still encode legal risk that nobody intended to automate.
When product counsel is embedded in these initiatives, the logic that gets encoded actually maps to the legal reality the organization has to live with. That's the difference between contract data as an asset and contract data as a liability waiting to surface.
The practical question is whether product counsel knows to show up before the schema is locked — and whether the teams building these systems know to ask.
